These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and Pleaze App Limited governing your access to and use of the StinkingThinking application and services (collectively, the "Services").

## 2. Eligibility and Account Requirements
### 2.1 Age Requirement
You must be at least **16 years of age** to use the Services. By creating an account, you confirm that you are 16 years or older. If we discover that a user is under 16, we will immediately terminate their account and delete their data.
### 2.2 Account Creation
- You must provide accurate, current, and complete information during registration
- You are responsible for maintaining the confidentiality of your account credentials
- You must immediately notify us of any unauthorized use of your account at **info@pleazeapp.com**
- You are solely responsible for all activities that occur under your account
### 2.3 One Account Per Person
- Each user may create and maintain only **one account**
- Accounts are personal and non-transferable
- You may not share your account credentials with others
- You may not sell, trade, or transfer your account to another person
- Creating multiple accounts to abuse free trials or promotional offers is strictly prohibited and will result in immediate termination
### 2.4 Account Inactivity
We do not terminate accounts due to prolonged inactivity. However, we reserve the right to remove inactive accounts after **2 years** of no login activity, with 30 days' prior notice via email.

## 3. Services and Features
### 3.1 Service Description
StinkingThinking is a thought-tracking and analysis application that uses artificial intelligence to help you organize and understand your thoughts. Our Services include:
- **Voice-to-text transcription** of your thought sessions using OpenAI's Whisper-1 model
- **AI-powered thought processing** and categorization using OpenAI's GPT-4 model
- **Emotional analysis** and intensity tracking
- **Session summaries** and insights
- **Premium features** including Mind Canvas, Mind Weather, streak tracking, and complete dashboard (available with paid subscriptions)
### 3.2 Nature of Service
**IMPORTANT DISCLAIMERS:**
- StinkingThinking is a **thought-tracking and organizational tool**, NOT a medical device, mental health treatment, therapy service, or substitute for professional medical advice
- We do **not provide medical advice, diagnosis, or treatment**
- AI-generated insights, summaries, and categorizations are for informational and organizational purposes only
- You should **not rely on AI insights for medical, therapeutic, or mental health decisions**
- If you are experiencing mental health concerns, suicidal thoughts, or psychological distress, please immediately contact a qualified mental health professional, your doctor, or emergency services
- In the event of a mental health emergency, call emergency services (112 in Ireland/EU, 988 Suicide & Crisis Lifeline in the US)
**By using the Services, you acknowledge and agree that StinkingThinking is not a substitute for professional mental health care.**
### 3.3 Beta Features
All features of the Services are currently in **beta testing**. Beta features:
- May contain bugs, errors, or inaccuracies
- May be modified, limited, or discontinued at any time without notice
- Are provided "as is" without warranties of any kind
- May have reduced performance or availability

## 4. Subscription Plans and Pricing
### 4.1 Free Trial
- New users receive a **7-day free trial** upon account creation
- You must provide valid payment information to activate the free trial
- During the free trial, you have access to **core thought processing, organizing, and AI questioning features only**
- Premium features (saved data history, dashboard, Mind Canvas, Mind Weather, streak tracking) are **not available** during the free trial
- At the end of the 7-day trial, your subscription will **automatically convert** to the paid plan you selected unless you cancel before the trial ends
- You may cancel your trial at any time during the 7-day period without charge by visiting your Profile settings
### 4.2 Subscription Tiers
We offer the following subscription plans (prices include Irish VAT at 23%):
**Monthly Plan - €29.99/month**
- Billed monthly
- Unlimited sessions with no usage limits
- All premium features: Mind Canvas, Mind Weather, streak tracking, complete dashboard
- Priority access to new features and updates
- Can be cancelled anytime
**Yearly Plan - €287/year (Save 20%)**
- Billed annually (equivalent to €23.92/month)
- All features included in Monthly Plan
- 20% discount compared to monthly billing
- Can be cancelled anytime
**Lifetime Access - €499.99 one-time payment**
- Single payment for lifetime access to the Services
- All current and future features included
- Valid for the lifetime of the Services (not the lifetime of the user)
- Non-refundable under any circumstances
- If the Services are discontinued, you will receive 30 days' notice (see Section 13.3)
### 4.3 Payment Processing
- All payments are processed securely through **Stripe**
- We do not store your credit card information
- You authorize us to charge your payment method for all applicable fees
- Prices are listed in **Euros (€)** and include Irish VAT (23%) where applicable
- Stripe automatically handles VAT collection for EU customers based on your location
- You are responsible for any additional taxes or fees imposed by your jurisdiction
### 4.4 Billing Cycles and Auto-Renewal
- **Monthly subscriptions** renew automatically on the same day each month
- **Yearly subscriptions** renew automatically on the annual anniversary of your purchase
- You will be charged automatically unless you cancel before the renewal date
- We will send a reminder email **7 days before** each renewal
- By subscribing, you authorize us to charge your payment method for recurring subscription fees
### 4.5 Failed Payments
- If a payment fails, we will attempt to process it again within **3 days**
- If payment continues to fail, your subscription will be suspended after **7 days**
- You will receive email notifications about failed payments
- Suspended accounts lose access to premium features until payment is resolved
- Accounts suspended for more than **30 days** may be terminated and data deleted
### 4.6 Price Changes
- We reserve the right to change subscription prices at any time
- Price changes will **not affect current subscribers** for their current billing cycle
- For **Monthly subscribers**: New prices apply starting with the next billing cycle after 30 days' notice
- For **Yearly subscribers**: New prices apply at the next annual renewal after 30 days' notice
- **Lifetime subscribers** are exempt from any future price changes and retain access under their original purchase terms
- We will notify you via email at least **30 days in advance** of any price changes
- If you do not agree to a price increase, you may cancel your subscription before the new price takes effect

## 5. Cancellation and Refunds
### 5.1 Cancellation Policy
- You may cancel your subscription at any time through your Profile settings
- Cancellations are effective immediately, but you retain access until the end of your current billing period
- We do **not provide prorated refunds** for unused time in your billing cycle
- After cancellation, you will not be charged for subsequent billing periods
- Your data will be permanently deleted **30 days** after cancellation (see Section 5.3)
### 5.2 Refund Policy
**We do not offer refunds under any circumstances, including but not limited to:**
- Dissatisfaction with the Services
- Inaccurate or unhelpful AI insights
- Technical issues or service outages
- Failure to cancel before a renewal date
- Change of mind after purchase
- Lifetime Access purchases (non-refundable)
**Exception:** If you are an EU consumer and cancel within **14 days** of your initial purchase and have not used the Services beyond the free trial period, you may be entitled to a refund under EU consumer protection laws. Contact **info@pleazeapp.com** to request a refund under this provision.
### 5.3 Data Deletion After Cancellation
- Upon cancellation or account termination, all your data will be **permanently deleted within 30 days**
- This includes: transcripts, processed thoughts, emotions, summaries, and all session data
- **You will not have access to export or retrieve your data** after cancellation
- We recommend exporting any important data before cancelling your account
- Payment records may be retained for **7 years** as required by Irish tax laws (see Privacy Policy Section 8.2)

## 6. User Content and Intellectual Property
### 6.1 Your Content Ownership
- You retain full ownership of all content you submit to the Services, including voice recordings, transcripts, and thoughts ("User Content")
- We do not claim any ownership rights to your User Content
- You are solely responsible for your User Content and the consequences of sharing it
### 6.2 License Grant to Us
By submitting User Content to the Services, you grant Pleaze App Limited a **limited, non-exclusive, royalty-free, worldwide license** to:
- Process your voice recordings through OpenAI's Whisper-1 transcription service
- Analyze your transcripts using OpenAI's GPT-4 AI model
- Store, display, and organize your transcripts, thoughts, emotions, and summaries
- Generate AI-powered insights, categorizations, and summaries
**This license is strictly limited to providing the Services to you. We will not:**
- Use your User Content to train our own AI models
- Share your User Content with third parties except as necessary to provide the Services (see Privacy Policy Section 5)
- Use your User Content for research, marketing, or any purpose beyond service delivery
- Sell or monetize your User Content
This license terminates when you delete your User Content or close your account.
### 6.3 AI-Generated Content
- AI-generated summaries, insights, and categorizations are created specifically for you based on your User Content
- We do not claim ownership of AI-generated content derived from your User Content
- You may screenshot, save, and share AI-generated insights as you wish
- However, you acknowledge that AI-generated content may contain errors, inaccuracies, or subjective interpretations
### 6.4 Our Intellectual Property
All aspects of the Services not created by you are owned by Pleaze App Limited, including:
- The StinkingThinking name, logo, branding, and trademarks
- Application code, software, algorithms, and architecture
- User interface design, graphics, and visual elements
- Documentation, marketing materials, and website content
You may not:
- Copy, modify, distribute, or reverse engineer any part of our intellectual property
- Use our trademarks, logos, or branding without written permission
- Create derivative works based on the Services
- Remove or alter any copyright, trademark, or proprietary notices

## 7. Acceptable Use Policy
### 7.1 Permitted Uses
You may use the Services only for lawful purposes and in accordance with these Terms. You agree to use the Services solely for personal, non-commercial thought tracking and organization.
### 7.2 Prohibited Activities
You agree that you will **NOT**:
**Illegal or Harmful Content:**
- Upload, record, or share any illegal content, including but not limited to: child sexual abuse material, content promoting terrorism, content facilitating illegal drug trade, or content that violates any applicable law
- Record or upload hate speech, threats of violence, harassment, or content that promotes discrimination based on race, ethnicity, religion, gender, sexual orientation, disability, or any protected characteristic
- Upload content that infringes on others' intellectual property rights, privacy rights, or other legal rights
- Share content that promotes self-harm, suicide, eating disorders, or dangerous activities
**Abusive Behavior:**
- Harass, threaten, intimidate, or abuse our staff, support team, or other users
- Impersonate any person or entity, or falsely represent your affiliation with any person or entity
- Use the Services to stalk, harass, or harm others
**System Abuse:**
- Attempt to hack, breach, or circumvent any security measures of the Services
- Use automated tools, bots, scrapers, or scripts to access the Services
- Reverse engineer, decompile, disassemble, or attempt to discover the source code of the Services
- Interfere with or disrupt the integrity or performance of the Services
- Attempt to gain unauthorized access to any systems, accounts, or data
- Probe, scan, or test the vulnerability of the Services without authorization
**Fraud and Abuse:**
- Create multiple accounts to abuse free trials, promotional offers, or circumvent bans
- Use stolen, fraudulent, or unauthorized payment methods
- Initiate chargebacks without valid cause or attempt to defraud the payment system
- Share, sell, or trade accounts
**Commercial Misuse:**
- Use the Services for any commercial purpose without our express written permission
- Resell, sublicense, or redistribute access to the Services
- Use the Services to build a competing product or service
### 7.3 Enforcement
Violation of this Acceptable Use Policy may result in:
- Warning and requirement to cease prohibited activity
- Temporary suspension of your account
- Permanent termination of your account without refund
- Reporting to law enforcement authorities where applicable
- Legal action to recover damages

## 8. Account Termination and Suspension
### 8.1 Termination by You
You may terminate your account at any time by:
- Visiting your Profile settings and selecting "Delete Account"
- Contacting us at **info@pleazeapp.com**
Upon termination, your data will be deleted within 30 days as described in Section 5.3.
### 8.2 Termination by Us
We reserve the right to suspend or terminate your account immediately, without prior notice or liability, for any reason, including but not limited to:
**Violations Justifying Immediate Termination:**
- Breach of these Terms or our Acceptable Use Policy (Section 7)
- Uploading illegal content or engaging in illegal activities
- Fraudulent payment activity, including chargebacks without valid cause
- Creating multiple accounts to abuse free trials or promotional offers
- Attempting to hack, breach security, or reverse engineer the Services
- Harassment, threats, or abuse directed at our staff, support team, or other users
- Impersonating others or providing false information
- Using the Services for unauthorized commercial purposes
- Engaging in activity that harms or threatens the security, integrity, or availability of the Services
- Violation of third-party rights (intellectual property, privacy, etc.)
- Failure to pay subscription fees after multiple attempts
**Consequences of Termination:**
- Immediate loss of access to your account and all Services
- No refund of any subscription fees paid
- Permanent deletion of all your data within 30 days
- Prohibition from creating new accounts in the future
### 8.3 Effect of Termination
Upon termination by either party:
- Your right to access and use the Services immediately ceases
- All licenses granted to you under these Terms terminate
- We will delete your User Content within 30 days (except as required by law)
- Sections that by their nature should survive termination will remain in effect (including Sections 6, 9, 10, 11, 12, 14)

### 9.1 Third-Party Terms
Our Services rely on third-party service providers, including:
- **OpenAI** (for AI transcription and analysis)
- **Stripe** (for payment processing)
- **Supabase** (for data storage)
- **Resend** (for email communications)
- **Redis Labs** (for caching)
- **StackBlitz** (for hosting and CDN)
By using our Services, you agree to be bound by the terms and conditions of these third-party providers. You can review their terms at:

- We are not liable for any damages resulting from third-party service failures
### 9.3 Third-Party Links
The Services may contain links to third-party websites or services. We are not responsible for the content, privacy practices, or terms of third-party sites. Your use of third-party services is at your own risk.

## 10. Disclaimers and Limitations of Liability
### 10.1 Service Availability
- We do **not guarantee** that the Services will be available at all times without interruption
- We do not provide any Service Level Agreement (SLA) or uptime guarantee
- The Services may be temporarily unavailable due to maintenance, updates, outages, or technical issues
- We will make reasonable efforts to notify you of planned maintenance via email
### 10.2 AI Accuracy Disclaimer
- AI-generated insights, summaries, and categorizations may contain **errors, inaccuracies, or subjective interpretations**
- AI outputs are based on machine learning models and should not be considered factual, definitive, or professional advice
- You should not rely solely on AI insights for important decisions, especially those related to your health, safety, or well-being
- If you notice inaccurate AI analysis, please report it to **info@pleazeapp.com** so we can improve the Services
### 10.3 "AS IS" and "AS AVAILABLE" Disclaimer
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
- Warranties of merchantability, fitness for a particular purpose, title, and non-infringement
- Warranties that the Services will be uninterrupted, error-free, secure, or free from viruses or harmful components
- Warranties regarding the accuracy, reliability, or completeness of any content or AI-generated insights
- Warranties that defects will be corrected or that the Services will meet your requirements
### 10.4 Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW:
**General Liability Cap:**
- Our total liability to you for any claims arising from or related to these Terms or the Services is limited to the **total amount you paid to us in subscription fees during the 12 months preceding the claim**
- For free trial users or users who have not paid any fees, our liability is limited to **€50**
**Exclusion of Consequential Damages:**
We are not liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:
- Loss of profits, revenue, data, or business opportunities
- Emotional distress or mental anguish
- Personal injury or property damage (except as required by law)
- Costs of substitute services
- Damages resulting from your reliance on AI insights or content
**Events Beyond Our Control:**
We are not liable for any failure or delay in performance due to events beyond our reasonable control, including:
- Force majeure events (natural disasters, wars, pandemics, acts of terrorism)
- Internet service provider failures or network outages
- Power outages or equipment failures
- Third-party service failures (OpenAI, Stripe, Supabase, etc.)
- Government actions, laws, or regulations
- Cyberattacks, hacking attempts, or data breaches despite our reasonable security measures
### 10.5 Consumer Rights
Nothing in these Terms limits or excludes our liability for:
- Death or personal injury caused by our negligence
- Fraud or fraudulent misrepresentation
- Any other liability that cannot be excluded or limited under applicable law
If you are an EU consumer, you have statutory rights under EU consumer protection laws that cannot be waived by these Terms.

## 11. Indemnification
You agree to indemnify, defend, and hold harmless Pleaze App Limited, its officers, directors, employees, agents, affiliates, and service providers from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or related to:
- Your use or misuse of the Services
- Your violation of these Terms or any applicable law
- Your User Content, including any claims that your User Content infringes third-party rights
- Your violation of any third-party rights, including intellectual property, privacy, or publicity rights
- Any harm caused to third parties as a result of your actions
- Fraudulent or illegal activity conducted through your account
This indemnification obligation survives the termination of these Terms and your use of the Services.

## 12. Dispute Resolution and Governing Law
### 12.1 Governing Law
These Terms and any disputes arising from or related to the Services shall be governed by and construed in accordance with the **laws of Ireland**, without regard to its conflict of law principles.
### 12.2 Jurisdiction
Subject to the arbitration provisions below (for U.S. users), the courts of **Dublin, Ireland** shall have exclusive jurisdiction over any disputes arising from these Terms or the Services.
### 12.3 Informal Dispute Resolution (Required First Step)
Before initiating any formal legal proceedings, you agree to first attempt to resolve any dispute informally by contacting us at **info@pleazeapp.com** with a detailed description of the dispute. We will attempt to resolve the dispute within **30 days** of receiving your notice.
### 12.4 Arbitration for U.S. Users (Class Action Waiver)
**This Section 12.4 applies only to users residing in the United States.**
**Binding Arbitration Agreement:**
You and Pleaze App Limited agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services (including but not limited to disputes about the validity, enforceability, or scope of this arbitration agreement) shall be resolved by **binding individual arbitration** rather than in court, except as provided below.
**Arbitration Rules:**
- Arbitration will be conducted by the **American Arbitration Association (AAA)** under its Consumer Arbitration Rules
- The arbitration will be conducted in **English**
- The arbitrator's decision will be final and binding, and judgment may be entered in any court of competent jurisdiction
- You may choose to have the arbitration conducted by telephone, video conference, or in-person in your county of residence or another mutually agreed location
**Class Action Waiver:**
**YOU AND PLEAZE APP LIMITED AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.**
This means:
- No class arbitrations, class actions, or representative actions are permitted
- The arbitrator may not consolidate more than one person's claims
- The arbitrator may not preside over any form of representative or class proceeding
**Exceptions to Arbitration:**
The following disputes are **not subject to arbitration** and may be brought in court:
- Disputes that qualify for small claims court (under $10,000 in most U.S. states)
- Disputes related to intellectual property infringement (trademarks, copyrights, patents, trade secrets)
- Disputes seeking injunctive or equitable relief for theft, piracy, or unauthorized use of intellectual property
**Opt-Out Right:**
You may opt out of this arbitration agreement within **30 days** of first accepting these Terms by sending a written notice to:

- Subject: "Arbitration Opt-Out"
- Include: Your full name, email address, and a statement that you wish to opt out of the arbitration agreement
If you opt out, all other terms of this agreement still apply, but disputes will be resolved in the courts of Dublin, Ireland.
**Severability:**
If any portion of this arbitration agreement is found to be unenforceable, the remainder shall remain in full force and effect. If the class action waiver is found to be unenforceable, the entire arbitration agreement shall be void, and disputes shall be resolved in court.
### 12.5 EU Consumer Rights
If you are a consumer based in the EU, you may also bring proceedings in the courts of the EU country where you reside. You may also use the European Commission's Online Dispute Resolution (ODR) platform at https://ec.europa.eu/consumers/odr.

## 13. Changes to Terms and Services
### 13.1 Modifications to Terms
We reserve the right to modify these Terms at any time. When we make changes, we will:
- Update the "Last Updated" date at the top of these Terms
- Notify you via email at least **30 days in advance** of material changes
- Display a prominent notice in the application
### 13.2 Acceptance of Changes
- **Continued use of the Services after changes take effect constitutes your acceptance of the modified Terms**
- If you do not agree to the modified Terms, you must stop using the Services and cancel your account before the changes take effect
- You will have **30 days** after notification to review the changes and decide whether to accept them
- If you cancel your account before the changes take effect, you will not be subject to the new Terms
### 13.3 Service Modifications and Discontinuation
We reserve the right to:
- Modify, suspend, or discontinue any feature or aspect of the Services at any time without prior notice
- Change the availability of features across subscription tiers
- Impose new limitations on usage or access
**Discontinuation of Services:**
If we decide to permanently discontinue the Services entirely:
- We will provide at least **30 days' advance notice** via email
- Monthly and Yearly subscribers will not be charged for subsequent billing periods after the discontinuation date
- Lifetime Access subscribers will lose access as of the discontinuation date (the "lifetime" of the Services ends)
- All users will have the opportunity to export their data before the Services are shut down
- No refunds will be provided, including to Lifetime Access subscribers

## 14. General Provisions
### 14.1 Entire Agreement
These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Pleaze App Limited regarding the Services and supersede all prior agreements, representations, and understandings.
### 14.2 Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.
### 14.3 Waiver
Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision. Any waiver of any provision of these Terms must be in writing and signed by an authorized representative of Pleaze App Limited.
### 14.4 Assignment
You may not assign, transfer, or delegate these Terms or your rights and obligations under these Terms without our prior written consent. We may assign these Terms or any rights hereunder without restriction, including in connection with a merger, acquisition, reorganization, or sale of assets. Any attempted assignment in violation of this section is void.
### 14.5 No Agency
Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between you and Pleaze App Limited. You have no authority to bind us or make commitments on our behalf.
### 14.6 Force Majeure
We shall not be liable for any failure or delay in performance due to events beyond our reasonable control, including acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.
### 14.7 Notices
All notices to you will be sent to the email address associated with your account. Notices to us must be sent to:

Notices are deemed received:
- Email: Within 24 hours of sending (unless we receive a delivery failure notice)

The section headings in these Terms are for convenience only and have no legal or contractual effect.
### 14.9 Language
These Terms are drafted in English. If these Terms are translated into any other language, the English version shall prevail in case of any conflict or inconsistency.

## 15. User Feedback and Suggestions
